Effective date: 5 November 2026 · Version 2.0
1. These terms
These Terms of Service form a binding agreement between you and M & J Tech Suits LLC, a limited liability company registered in the State of Nebraska, United States, which operates the LingVata marketplace at lingvata.com ("LingVata", "we", "us"). By creating an account, requesting a quote, hiring a professional, applying as a professional, or otherwise using the Platform, you accept these Terms. If you do not accept them, do not use the Platform.
These Terms incorporate the Privacy Policy, the Service Terms and Conditions, the Professional Independent Contractor Agreement (for professionals), the Professional Code of Conduct (for professionals), the Acceptable Use Policy, the Copyright and Intellectual Property Policy, and the Refund and Cancellation Policy.
2. What LingVata is, and what it is not
LingVata operates an online marketplace that introduces customers to independent translators, interpreters and reviewers. Professionals are independent contractors. They are not employees, agents, partners or representatives of LingVata, and LingVata does not supervise, direct or control how they perform their work. Except where we act as payment facilitator, we are not a party to the agreement between a customer and a professional, and we are not the provider of the translation or interpretation service. We do not guarantee that a professional will accept a job, that a customer will hire a professional, or that any particular quality, deadline or outcome will be achieved. Any claim about a delivered service is a claim between the customer and the professional, subject to our dispute process.
3. Eligibility
You must be at least 18 years old and legally able to enter into contracts. You must not be barred from using the Platform under the laws of the United States or any other applicable jurisdiction. If you use the Platform for a company, you confirm you are authorised to bind that company.
4. Your account
- Provide accurate, current information and keep it up to date.
- Keep your password confidential and do not share your account.
- You are responsible for activity carried out under your account, except where it results from our failure to use reasonable security.
- One person or organisation may not maintain multiple accounts to circumvent a suspension, a commission, or a verification decision.
- Tell us promptly at privacy@lingvata.com if you suspect unauthorised access.
5. Professional accounts and verification
Professional accounts remain pending until our review is complete. We may request identity or qualification documents, approve, reject, suspend, de-list, or request further information at our discretion. Verification means that the information and documents presented were reviewed against our stated criteria at the time of review. It is not a warranty of competence, of any specific result, or of continued good standing, and it does not make us responsible for the professional's work.
6. Customer responsibilities
You are responsible for the material you upload and the instructions you give. You confirm that you hold all rights and permissions needed to share the material for translation or interpretation, that the material is lawful, and that your instructions are accurate and complete. You agree to review deliveries promptly, to raise concerns through the Platform, and to pay the amounts shown at checkout through the Platform.
7. Quotes, prices and payment
- Prices are shown in the currency displayed at checkout and are based on the information you provide, including word count, page count, duration, language pair, specialization and deadline.
- The checkout page shows the full breakdown: the amount charged to you, any payment processing fee, the platform commission, and the amount that will accrue to the professional.
- Payment is collected by our payment provider. A project or booking is not confirmed, and no professional is assigned, until the payment provider confirms the payment.
- You authorise us and our payment provider to charge the agreed amount using the payment method you select.
- If a payment fails, is reversed or is disputed, the related project or booking may be paused or cancelled.
- LingVata acts as payment facilitator and holds or routes funds on behalf of the parties as described in the Refund and Cancellation Policy.
8. Platform commission and professional payouts
For every completed transaction we deduct the commission disclosed in the payment breakdown; the current standard rate is 15% of the service amount. Payment processing fees are charged separately and are disclosed before payment. The professional's net amount accrues when the job is completed and becomes available for payout after the configured hold period, currently 7 days, so that revision, dispute and refund windows can run. Payouts are released to the professional's nominated payout method and are marked completed only when the payment provider confirms them. Payout availability depends on the country and currency of the payout account.
9. Delivery, revisions and acceptance
Deliverables are due by the deadline in the quotation or direct-hire confirmation. If delivered work does not match the agreed scope, ask for a revision through the project workspace first. Each job includes the revision rounds stated in the quotation; further work may be quoted separately. Work is treated as accepted when you approve it, or when you do not raise a concern within the review window shown in the Platform.
10. Cancellations, refunds and disputes
Cancellation, refund and dispute rules are set out in the Refund and Cancellation Policy, including the 24-hour notice period for interpretation sessions and the dispute window after delivery. Refunds are returned through the original payment method, less any non-recoverable processing fee. Chargebacks raised directly with a bank instead of through our process may result in suspension of the account while the matter is investigated.
11. Acceptable use
Your use of the Platform is governed by the Acceptable Use Policy. Prohibited conduct includes unlawful content, infringement, harassment, fraud, circumventing the Platform to avoid commission, scraping, attempting to access another user's data, and misrepresenting identity or qualifications. We may suspend or terminate access for a breach.
12. Intellectual property
- Your material. You keep all rights in the documents and content you upload. You grant the professional engaged for the job, and LingVata to the extent needed to operate the Platform, a limited licence to store, copy, transmit and process that material solely to perform the job. That licence ends when the job ends and the retention period in the Data Retention and Deletion Policy runs out, except for copies we must keep by law.
- Delivered work. On full payment, the customer receives the rights in the delivered translation or interpretation agreed in the quotation, to the extent the professional holds them. Unless agreed otherwise in writing, the professional keeps the right to use the work as a portfolio sample only where the customer has not marked the job confidential.
- The Platform. The Platform, the LingVata name and logo, the software, and the design are owned by M & J Tech Suits LLC or its licensors. You may not copy, modify, distribute, sell or reverse engineer them except as permitted by law.
- Feedback. If you send us suggestions, we may use them without obligation to you.
- Copyright complaints are handled under the Copyright and Intellectual Property Policy.
13. Reviews and content you post
Reviews must be honest and relate to a transaction you actually completed. We may remove reviews that are abusive, discriminatory, defamatory, unrelated to a transaction, or that contain personal data of another person. Professionals may reply once to a review. We do not edit the substance of a review.
14. Third-party services
The Platform relies on third parties for authentication, payment processing, file storage and email delivery. Their services are subject to their own terms. We are not responsible for an interruption caused by a third party, though we will use reasonable efforts to restore service.
15. Suspension and termination
You may close your account at any time from Account settings. We may suspend or terminate an account, remove a listing, withhold a payout under investigation, or refuse service if we reasonably believe these Terms or applicable law have been breached, if verification fails, if fraud or a safety risk is suspected, or if required by law. Obligations that by their nature survive termination (payment, intellectual property, confidentiality, liability, governing law) continue to apply.
16. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Platform will be uninterrupted or error-free, that a professional will meet a deadline, or that a translation will be accepted by a court, government body, university or other third party. Nothing in these Terms limits rights you have under mandatory consumer law in your country of residence.
17. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption. Our total liability arising out of or relating to the Platform or these Terms is limited to the greater of the total fees you paid to LingVata in the 6 months before the event giving rise to the claim, or USD 100. These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.
18. Indemnity
You agree to indemnify M & J Tech Suits LLC against claims, damages, losses and reasonable legal costs arising from material you upload, instructions you give, your breach of these Terms, or your infringement of another person's rights. This does not apply to the extent a claim results from our own negligence or breach.
19. Governing law and jurisdiction
These Terms are governed by the laws of the State of Nebraska, United States, without regard to conflict-of-law rules. The state and federal courts located in Douglas County, Nebraska have exclusive jurisdiction, except that either party may bring a claim in small claims court, and except that a consumer may bring proceedings in the courts of their country of residence where mandatory consumer law gives them that right.
20. Resolving a disagreement
Before starting proceedings, contact us at privacy@lingvata.com with a description of the issue and the outcome you are seeking. We will try to resolve it within 30 days. This informal step does not limit either party's right to go to court, and it does not suspend any statutory time limit.
21. Changes to these Terms
We publish a version number and effective date for every version and keep previous versions in the Legal Center. For a material change we will notify you in the Platform or by email. Where you have accepted a version that requires acceptance, a material change will require you to accept the new version before continuing to use the affected features.
22. General
If a provision is unenforceable, the rest remains in force. You may not assign this agreement without our written consent; we may assign it in connection with a merger, acquisition or sale of assets. Failure to enforce a provision is not a waiver. These Terms together with the documents they incorporate are the entire agreement between you and LingVata about the Platform. Notices to you may be given by email or in the Platform; notices to us must be sent to privacy@lingvata.com or to our postal address. Neither party is liable for a delay caused by events beyond its reasonable control. This agreement is concluded in English, and the English version controls over any translation.
