Professional Independent Contractor Agreement

Version 2.0 · Effective Nov 5, 2026 · Status published

Effective date: 5 November 2026 · Version 2.0

This Professional Independent Contractor Agreement is between M & J Tech Suits LLC, a Nebraska limited liability company at 4938 S 24th St., Omaha, Nebraska 68107, United States, operator of LingVata ("LingVata"), and you, the professional who applies to or works through the Platform ("you"). It applies in addition to the Terms of Service, the Professional Code of Conduct and the Privacy Policy.

1. Engagement

You provide translation, interpretation or review services as an independent contractor. Nothing in this agreement creates employment, partnership, joint venture, franchise or agency. You are not entitled to employee benefits, and you are free to accept or decline any job, to work for other clients, and to set your own working hours.

2. Eligibility and verification

You confirm that the identity, qualifications, certifications, language competence and experience you present are true and that you hold any licence, sworn-translator status, working permission or insurance required where you live and where the work is performed. You consent to verification checks, including identity and document checks, and to periodic re-verification. Providing false information, or allowing another person to perform work under your account, is grounds for immediate removal.

3. Your obligations

  • Deliver work that meets the agreed specification, quality standard and deadline.
  • Accept only jobs within your language pairs, specializations and competence.
  • Communicate promptly, and report a risk of delay as soon as it appears.
  • Keep customer material confidential and use it only for the job.
  • Do not solicit or accept payment outside LingVata for work introduced by the Platform.
  • Comply with the laws applicable to you, including tax registration and reporting.

4. Rates, commission and fees

You set your rates where the Platform allows; platform-set rates apply where they are configured. For every completed transaction, LingVata deducts the commission disclosed in the payment breakdown before you accept the job; the current standard rate is 15% of the service amount, and payment processing fees are charged separately. LingVata may change its commission on prospective jobs with notice in the Platform. The commission applicable to a job is the one shown when you accept it.

5. Payouts

Your net earnings accrue when a job is completed and become available for payout after the hold period, currently 7 days, so that revision, dispute and refund windows can run. Payouts are sent to the payout method you nominate and are marked completed only when the payment provider confirms them. Payout availability depends on your country, your currency and the provider's verification requirements. To receive payouts you must complete the provider's onboarding, including any identity and tax information it requires. You are responsible for the accuracy of your payout details.

6. Taxes

You are responsible for your own income tax, social contributions and any registration required where you live. You agree to provide a valid tax form (for example a W-9, W-8BEN or equivalent) when requested. LingVata does not withhold taxes except where the law requires it.

7. Quality, revisions and disputes

You agree to correct non-conformity with the agreed scope within the revision rounds stated in the quotation. If a customer opens a dispute within the stated window, LingVata may review the brief, the delivered files and the message history, and may require a revision, release the payment, or refund the customer in whole or in part under the Refund and Cancellation Policy. Repeated quality failures may lead to review of your listing and, where warranted, suspension.

8. Intellectual property

You keep the rights in your pre-existing tools, glossaries, translation memories and methodologies. On full payment, the customer receives the rights in the delivered work agreed in the quotation. To the extent permitted by law you waive moral rights in the delivered work, or agree not to assert them against the customer. You must not incorporate third-party material into a deliverable without the rights to do so.

9. Confidentiality and data protection

You treat all customer material as confidential, indefinitely. You process any personal data contained in that material only to perform the job, on the customer's and LingVata's instructions, and you apply appropriate technical and organisational measures to protect it. You delete customer material from your own devices and accounts when the job and the retention period end. You will not transfer customer material to a tool or a person that is not necessary for the job.

10. Non-circumvention

For 12 months after a job, you will not knowingly solicit or accept work from a customer you were introduced to through the Platform, for the same or a substantially similar service, in order to avoid the platform commission. This does not prevent you from responding to a customer who returns to you independently of the Platform for a genuinely new engagement; in that case the commission rules disclosed in the Platform apply.

11. Conduct and listing accuracy

You will follow the Professional Code of Conduct, keep your profile, rates and availability accurate, and respond to Platform and customer messages within one business day during an active job. You will not ask a customer to move communication or payment off the Platform.

12. Insurance and liability

You are solely responsible for the professional quality of your work and for your own insurance. You indemnify M & J Tech Suits LLC against claims arising from your work, your breach of this agreement, or your infringement of another person's rights, except to the extent the claim results from LingVata's own negligence or breach.

13. Suspension and termination

Either party may end this agreement at any time. Jobs already accepted must be completed or handed over responsibly. LingVata may suspend or terminate immediately for a verification failure, a confidentiality breach, fraud, off-platform circumvention, abusive conduct, or a legal requirement. Earnings for completed jobs that are not under investigation remain payable. Provisions on confidentiality, intellectual property, non-circumvention, liability and governing law survive termination.

14. Governing law and jurisdiction

This agreement is governed by the laws of the State of Nebraska, United States, without regard to conflict-of-law rules, and the state and federal courts located in Douglas County, Nebraska have exclusive jurisdiction, except where mandatory law in your country of residence gives you a different forum.
